MS Helping Hands-MSHH is an all volunteer 501(c)(3) non-profit Corporation licensed & registered in the State of Washington. Mission Statement: “To create and provide services & resources that will enhance the quality of life for people with Multiple Sclerosis.”

You will be notified when the next opening occurs. -------------------------------------------------------------------- President: The President is the Chief Executive Officer of the Corporation and shall have general charge and supervision over its property, business and affairs. The President shall preside at meetings of the Board of Directors. The President is Chair of the Executive Committee.
- Is a member of the Board.
- Serves as the Chief Volunteer of the organization.
- Provides leadership to the Board.
- Chairs meetings of the Board.
- Encourages Board's role in strategic planning.
- Appoints the chairpersons of committees, in consultation with other Board members.
- Serves ex officio as a member of committees and attends their meetings when invited.
- Helps guide and mediate Board actions with respect to organizational priorities and governance concerns.
- Monitors financial planning and financial reports.
- Plays a leading role in fundraising activities.
- Informally evaluates the effectiveness of the Board members.
- Evaluates annually the performance of the organization in achieving its mission.
- Performs other responsibilities assigned by the Board.
- Chairs the Executive Committee meetings.
-------------------------------------------------------------------- Vice-President: In the absence of the President, the Vice-President shall perform all the duties of the President. The Vice-President is Chair of the Development Committee.
- Is a member of the Board.
- Performs the President’s responsibilities when the President cannot be available. (See President Job Description)
- Reports to the President.
- Works closely with the President, Board, and other staff.
- Participates closely with the President to develop and implement officer transition plans.
- Performs other responsibilities as assigned by the President or the Board.
-------------------------------------------------------------------- Board Secretary: Is a member of the Board. The Secretary shall:
- Keep the minutes of all meetings of the membership and Board of Directors in one (1) or more books provided for that purpose.
- See that all notices regarding Board meetings are duly given in accordance with the provisions of these Bylaws or as required by law.
- Keep a register of the post office address of each member, which shall be furnished to the Secretary by the member.
- In general, perform all duties incident to the office of the Secretary, and other such duties as from time to time that may be assigned to her/him by the President or the Board.
Board Treasurer: Is a member of the Board. The Treasurer shall: The Treasurer is the Chief Financial Officer of the Corporation, Chair of the Finance Committee and shall:
- Keep and maintain, or cause to be kept and maintained, adequate and correct accounts of the monies, properties and business transactions of the Corporation.
- Present a financial status report at regular Board meetings.
- Ensure that the financial records are reviewed annually by a Certified Public Accountant, not a member of the Board of Directors.
- Ensure that an annual compilation be published within one hundred twenty (120) days after the close of the fiscal year and be presented to the Board of Directors at its next regular meeting.
- Have such other powers and perform such other duties as may be prescribed by the Board.
- At the expiration of his/her position as Treasurer; shall turn over to his/her successor all property of the Corporation in his/her possession
-------------------------------------------------------------------- The Registered Agent is a member of the Board and serves as the contact person for the Corporation with the Secretary of State of the State of Washington, and is the custodian of the corporation records. -------------------------------------------------------------------- Committee Chair:
- Is a member of the Board.
- Chairs the committee meeting, sets the agenda, and ensures distribution of meeting minutes.
- Ensures that members have the information needed to do their jobs.
- Oversees the logistics of committee's operations.
- Reports to the President.
- Reports to the full Board on committee's decisions/recommendations.
- Assigns work to the committee members.
- Initiates and leads the committee's annual evaluation.
-------------------------------------------------------------------- Board Member Job Description:
- Regularly attends board meetings and other important related meetings.
- Makes serious commitment to participate actively in committee work.
- Volunteers for and willingly accepts assignments and completes them thoroughly and on time.
- Stays informed about committee matters, prepare themselves well for meetings and reviews and comments on minutes and reports.
- Gets to know other committee members and builds a collegial working relationship that contributes to consensus.
- Is an active participant in the committee's annual evaluation and planning efforts.
- Participates in fund raising for the organization.
-------------------------------------------------------------------- Non-voting Advisory Committee Job description: The MSHH Advisory committee functions like any committee of the Board. It is created for the specific purpose to assist the Board in its work. For instance, The Advisory Committee may focus on fund-raising, provide technical assistance, assess the impact of a service or program, and serve as an advocate or a public relations representative for the organization. Advisory Committee members have no legal responsibilities; they have no vested right to serve; and no immunity from removal. The Advisory Committee is limited to making recommendations, providing background for Board decisions, and serving on any committee assigned by the President/Board Chair.
